Many B2B software contracts can only be stopped by written notice of non-renewal. Not a click, not a chat with support, not a mention on a call with your account manager. If the notice does not reach the right place, in the right form, before the deadline, the contract renews and the next invoice is valid.
This guide gives you a non-renewal letter and an email you can copy, and walks through the steps that make sure your notice counts: finding the notice address, timing it, and keeping proof.
It is practical guidance, not legal advice. Contracts differ, and rules on automatic renewal vary by country and state. If a large amount is at stake or the vendor disputes your notice, talk to a lawyer.
Before you write anything
Open the contract and find four things. They are usually in two places: the renewal clause and a separate “Notices” section near the end of the terms.
- The deadline. The renewal date or term end, minus the notice period. For a term ending February 28, 2027 with 60 days notice, the last day is December 30, 2026.
- The method. “Written notice” plus whatever the Notices section adds: email, letter, courier, certified mail, or a form in the admin console.
- The address. A named mailbox, a legal department, a postal address, or a specific person by role.
- The contract identifiers. Your legal entity name as it appears on the order form, the vendor’s legal entity name, the order form or contract number, the account or workspace ID, and the effective date.
If the contract allows email, use it, since it is fast and timestamped. If it requires a letter or courier, send both the letter and an email copy, and leave enough time for delivery when notice must be received by the deadline.

Re: Notice of non-renewal, [Order Form / Agreement number], [Product name]
To whom it may concern,
This letter is formal written notice that [Your company legal name]
("Customer") will not renew the [Agreement name] dated [effective date],
including Order Form [number] for [product, plan and seat count]
(account ID [ID]).
Under Section [section number] of the Agreement, the current term ends on
[term end date]. Customer does not wish to renew for any further term, and
the subscription should end on that date. Please do not issue an invoice
for a renewal term.
Please confirm receipt of this notice in writing to [name, email] and
confirm the date on which the subscription will end.
[Optional: Please also confirm how and until when we can export our data
before the subscription ends.]
Sincerely,

A few notes on the wording:
- Name the agreement and the order form. Vendors often have several contracts with one customer. Be specific about which one ends.
- Say “will not renew”, not “would like to cancel”. Non-renewal is what the clause asks for. “Cancel” can be read as asking to terminate mid-term, which many contracts do not allow.
- Have someone with authority sign. Usually the person who signed the order form, or someone at the same level.
- Ask for written confirmation. You want a reply you can file.
Non-renewal email template
Use this when the contract allows notice by email, or alongside a posted letter. Send it to the notice address in the contract, and copy your account manager if you have one, so the business side knows too.

Send it from a company address, not a personal one. If you also have to switch off auto-renew in the vendor’s admin console, do that too and take a screenshot. One does not replace the other when the contract asks for written notice.
What proof to keep
If the vendor later says they never received notice, your records are what settle it. Keep:
- The sent notice itself, as a PDF and the original email, with the full header showing the date, time and recipient.
- The signed letter, if you sent one, plus the courier or postal tracking number and the delivery confirmation.
- The vendor’s written acknowledgment. If none arrives within a few business days, follow up and keep that follow-up too.
- A screenshot of any in-app cancellation or auto-renew toggle, with the date visible.
- The clause you relied on, copied word for word, so whoever handles a dispute does not have to hunt for the contract.
Put all of it in one folder named after the vendor and the term end date, somewhere the whole finance or ops team can reach. The person who sent the notice may not be the person who has to prove it a year later.
After you send it
Watch for the next invoice
If a renewal invoice arrives anyway, reply to it with your notice and the vendor’s acknowledgment attached. Do not let it go to automatic payment.
Plan the exit
Non-renewal ends the subscription at the term end, not the day you send notice. Use the remaining time to export data, move users to the replacement tool, and remove integrations, so nothing breaks on the last day.
Check for other contracts with the same vendor
Add-on order forms, co-termed seat purchases and separate products may each have their own term. A single notice that names only one order form may leave another one renewing.
If you are past the deadline
Send the notice anyway, and say you are not renewing. Some vendors will agree to a shorter renewal, a lower seat count or a downgrade if you ask, especially when the alternative is losing the account at the next term. The contract may not require them to, so treat it as a negotiation, not a right. Then put next year’s deadline in the calendar so it does not happen twice.
Making the deadline hard to miss
The templates above take ten minutes to fill in. The hard part is having those ten minutes before the deadline, not after.
QuietBill reads the auto-renewal clause from the documents you forward or upload, records the notice period and the cancellation method (email, written letter, in-app, phone or account manager), and calculates the cancel-by date. It emails you 60, 30, 14 and 7 days before that date, with the clause quoted in the email, so the letter goes out with time to spare. When you have sent it, marking the subscription as cancelled stops the reminders.
